These terms apply to creators who run their membership business on Indie Member and to members who sign up for a creator’s site powered by Indie Member.

These Terms of Service govern your access to and use of Indie Member, including indiemember.com, creator-hosted membership sites powered by Indie Member, related software, hosted pages, APIs, emails, and other services we provide.
By accessing or using Indie Member, you agree to these Terms. If you are using Indie Member on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.
These Terms apply to creators, businesses, administrators, members, visitors, and anyone else who accesses or uses the service.
Some parts of the service involve a direct relationship between a creator and that creator’s members. In those cases, the creator may also have separate terms, membership rules, refund policies, or content standards that apply to their own membership business.
Indie Member is software for launching and managing memberships. Features may include account creation, creator onboarding, membership plan management, member authentication, billing integrations, branded member-facing pages, community and content tools, custom-domain support, and related account tools.
Some features may be in beta, limited release, or otherwise not fully complete. We may change, improve, limit, or discontinue features at any time.
You must provide accurate information and keep it reasonably up to date. You are responsible for activity that occurs through your account, your email inbox, and any devices used to access the service.
Indie Member currently uses email-link authentication. Because access may depend on your email account, you are responsible for maintaining the security of that email account.
You may not use the service if you are barred from doing so under applicable law.
Creators using Indie Member purchase a platform subscription from Indie Member. Platform subscriptions are offered on monthly or annual billing intervals and renew automatically until canceled.
If you subscribe to Indie Member, you authorize us and our payment processor to charge the payment method you provide for recurring subscription fees, applicable taxes, and other amounts clearly disclosed at checkout or otherwise agreed by you.
Unless otherwise required by law or expressly stated by us, subscription fees are non-refundable, and cancellations take effect at the end of the current billing period.
Indie Member also provides software that allows creators to offer free or paid memberships to their own members. For paid memberships processed through Stripe Connect direct charges, the creator’s connected account is intended to be the merchant of record for those member purchases.
That means the creator, not Indie Member, is generally responsible for the offer, pricing, taxes where applicable, fulfillment, creator content, customer support to members, refunds, and other obligations relating to that membership sale, except where law requires otherwise.
If you are a member purchasing access from a creator, your transaction is with that creator. Indie Member provides the software layer, not the underlying creator product or service.
If you use Indie Member as a creator or business, you are responsible for your content, your membership plans, your branding, your member communications, your promises to members, and your compliance with applicable laws and regulations.
You must not use Indie Member to offer unlawful content, infringing material, deceptive offers, prohibited goods or services, or anything that would violate payment-network rules, third-party provider requirements, or these Terms.
You may not misuse the service, interfere with its normal operation, attempt unauthorized access, reverse engineer restricted parts of the platform except where law prohibits that restriction, or use the service to transmit malware, spam, or fraudulent content.
You may not use Indie Member to violate another person’s rights, scrape private data, bypass access controls, abuse creator-member workflows, or use the platform in a way that could harm Indie Member, our providers, or other users.
You retain ownership of content you submit to Indie Member, subject to the rights you grant us to host, process, transmit, display, back up, and otherwise use that content as needed to operate and improve the service.
If you submit content to a creator’s membership site — including posts, comments, reactions, profile information, uploaded images, or other community content — that content is visible to other members of that site according to the access rules the creator has configured. You are responsible for what you post.
Creators and their designated moderators may remove, hide, lock, pin, or otherwise moderate content on their own sites, and may restrict or remove members who violate their community rules. Indie Member may also remove content or restrict access where reasonably necessary to enforce these Terms, comply with law, or protect the service.
Indie Member and its branding, software, design, and related materials are owned by us or our licensors and are protected by intellectual-property laws. These Terms do not transfer ownership of our intellectual property to you.
Indie Member relies on third-party infrastructure and service providers, including providers for hosting, authentication, storage, email delivery, and payments. Your use of certain parts of the service may also be subject to those providers’ terms or policies.
We are not responsible for third-party services or sites that we do not control, even if they are linked to or integrated with Indie Member.
We may suspend, restrict, or terminate access to all or part of the service if we reasonably believe you have violated these Terms, created legal or security risk, failed to pay amounts due, or used the service in a way that could harm us, our providers, creators, members, or other users.
You may stop using the service at any time. If you are a paying creator, cancellation of your platform subscription will typically take effect at the end of your current billing period unless otherwise required by law.
Indie Member is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee that the service will be uninterrupted, secure, error-free, or suitable for every business model, jurisdiction, or use case.
We do not guarantee any level of revenue, creator success, member growth, uptime, payment acceptance, domain availability, or legal compliance outcome.
To the fullest extent permitted by law, Indie Member and its officers, owners, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or business interruption arising out of or related to the service or these Terms.
To the fullest extent permitted by law, our total liability for all claims arising out of or relating to the service or these Terms will not exceed the greater of one hundred U.S. dollars (US $100) or the amount you paid to Indie Member for the service during the twelve months before the event giving rise to the claim.
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Indie Member and its affiliates, officers, owners, employees, and agents from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the service, your content, your memberships, your violation of these Terms, or your violation of law or another person’s rights.
We may update these Terms from time to time and may modify, suspend, or discontinue all or part of the service. If we make material changes, we may update the date above and provide additional notice where appropriate.
Your continued use of the service after updated Terms become effective means you agree to the updated Terms.
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles.
Unless applicable law requires otherwise, any dispute arising out of or relating to these Terms or the service must be brought exclusively in the state or federal courts located in Michigan, and you consent to that jurisdiction and venue.
